01 Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Candidate") and Day Dream Consultancy ("Company", "we", "our", or "us"), a recruitment and BPO consultancy firm registered in Maharashtra, India.

By visiting our website at daydreamconsultancy.com, submitting an application, registering as a client, or engaging our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

02 Our Services

Day Dream Consultancy provides the following professional services:

• Recruitment and staffing solutions (permanent, contractual, and temporary)
• Executive search and headhunting
• Campus hiring and bulk recruitment drives
• Human Resource (HR) consulting and advisory
• Business Process Outsourcing (BPO) – including call centre operations, back-office support, and data entry
• Training and development programs for job seekers and corporate teams

The scope, deliverables, timelines, and fees for each engagement shall be defined in a separate Service Agreement or Statement of Work (SOW) signed between the Company and the Client.

03 Eligibility

You must be at least 18 years of age to use our services or register on our platform. By using our services, you represent and warrant that:

• You are legally capable of entering into a binding contract under applicable Indian law
• All information you provide is accurate, current, and complete
• You will promptly update any information that changes

Corporate clients represent that the individual agreeing to these Terms has the authority to bind their organization.

04 Accounts & Registration

Candidates and clients may be required to create an account or register their details with Day Dream Consultancy. You agree to:

• Provide truthful, accurate, and complete registration information
• Maintain the security of any credentials or login details shared with you
• Notify us immediately of any unauthorized access or breach at dayydreamconsultancy@gmail.com

Day Dream Consultancy reserves the right to refuse registration or terminate accounts at its sole discretion, particularly in cases of misrepresentation or violation of these Terms.

05 User Conduct

When using our website or engaging our services, you agree not to:

• Submit false, misleading, or fraudulent information in any application or form
• Impersonate another person or entity
• Use our platform for any unlawful purpose or in violation of any applicable laws
• Transmit any harmful, harassing, defamatory, or offensive content
• Attempt to gain unauthorized access to our systems or databases
• Scrape, copy, or redistribute content from our website without written consent
• Interfere with the integrity or performance of our website or services

06 Intellectual Property

All content on our website — including but not limited to text, graphics, logos, icons, images, and software — is the exclusive property of Day Dream Consultancy and is protected under applicable Indian copyright, trademark, and intellectual property laws.

You may not reproduce, duplicate, distribute, or create derivative works of any content without prior written permission from Day Dream Consultancy. Limited, non-commercial personal use is permitted provided appropriate attribution is given.

07 Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary or sensitive information disclosed during the course of business engagement. This includes:

• Client company information, hiring requirements, and internal HR data
• Candidate CVs, personal information, salary details, and assessments
• Pricing, commercial terms, and contractual details

This confidentiality obligation survives the termination of any engagement for a period of 3 (three) years, unless a separate Non-Disclosure Agreement (NDA) specifies otherwise.

08 Fees & Payment

Fees for our services are agreed upon in writing in a separate Service Agreement. Unless stated otherwise:

• Recruitment fees are payable upon successful placement and joining of a candidate
• BPO and consulting retainers are invoiced on a monthly basis
• Training fees are payable in advance unless credit terms are separately agreed
• All fees are exclusive of applicable GST (Goods and Services Tax)

Payments are due within 15 days of invoice date. Late payments may attract an interest charge of 1.5% per month. Day Dream Consultancy reserves the right to suspend services for overdue accounts.

09 Limitation of Liability

To the fullest extent permitted by law, Day Dream Consultancy shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Actions of candidates placed with client organizations after the date of joining
• Inaccuracies in information provided by candidates or third parties

Our total aggregate liability under any service engagement shall not exceed the total fees paid by the Client to Day Dream Consultancy in the preceding 3 months for the relevant service.

10 Indemnification

You agree to indemnify, defend, and hold harmless Day Dream Consultancy, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of our services or website
• Your violation of these Terms
• Any false or misleading information you provide
• Your infringement of any third-party intellectual property or rights

11 Termination

Either party may terminate a service engagement by providing written notice as specified in the respective Service Agreement. In the absence of such an agreement, a minimum notice of 30 days is required.

Day Dream Consultancy may immediately terminate or suspend access to our services without notice if you:

• Breach any provision of these Terms
• Engage in fraudulent or illegal activity
• Fail to make payments when due after receiving reminder notices

Upon termination, all outstanding fees remain due and payable. Confidentiality and intellectual property provisions shall survive termination.

12 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, specifically the laws of the State of Maharashtra. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days, or through mediation if mutually agreed.

13 Changes to These Terms

Day Dream Consultancy reserves the right to modify these Terms at any time. We will notify registered users via email and update the "Last Updated" date at the top of this page. Your continued use of our services after changes are posted constitutes your acceptance of the updated Terms.

We recommend reviewing these Terms periodically to stay informed of any updates.
